TERMS OF SERVICE
(SaaS AGREEMENT)
Platform: Inwine Multiverse
 
These Terms of Service ("Terms") constitute a legally binding agreement between SIA "Pinflorist", reg. no. 40 103 996 785, legal address Riga, Siguldas prospect 4, registered under the laws of the Republic of Latvia, ("Company", "we", "us", or "our"), and you, the entity or individual accessing and using the Inwine Multiverse platform ("Client", "you", or "your").
By registering an account and using our platform, you automatically agree to be bound by these Terms.

1. Description of Service


1.1. The Platform: Inwine Multiverse is a Software-as-a-Service (SaaS) platform that enables Clients to build, host, and manage their own online storefronts (e-commerce websites) primarily for the display and sale of alcoholic beverages and related products.
1.2. Technology Provider Only: The Company provides exclusively the technological infrastructure (the engine and software). The Company is not a marketplace, a merchant of record, or a party to any transaction between the Client and their end-customers ("End-Users").

2. Client Responsibilities and Alcohol Sales


2.1. Legal Compliance: The Client is solely responsible for ensuring that their business operations, including the online sale and delivery of alcoholic beverages, comply with all applicable local, national, and international laws, including EU directives and regulas.
2.2. Licensing and Excise: The Client guarantees that they hold all necessary licenses, permits, and registrations required to sell and distribute alcohol in their target jurisdictions, and are solely responsible for the payment of all applicable taxes, duties, and excise fees.
2.3. Age Verification: The Client is solely and exclusively responsible for implementing and enforcing mandatory age verification mechanisms to ensure that alcohol is not sold or delivered to minors under the legal drinking age in the respective jurisdiction.
2.4. Indemnification: The Client agrees to indemnify, defend, and hold harmless the Company from any claims, fines, penalties, or legal actions arising out of the Client’s failure to comply with alcohol distribution laws, tax regulations, or age restrictions.

3. Account Registration and Security


3.1. To access the Platform, the Client must create an account providing accurate and current information.
3.2. The Client is responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account.
3.3. The Client is responsible for providing inaccurate or false information, in accordance with European union legislation.


4. Fees, Payment, and EU VAT


4.1. Subscription Fees: Access to the Platform is provided on a subscription basis. Fees are billed in advance on a recurring schedule (monthly or annually) as selected by the Client.
4.2. Taxes (VAT/PVN): All fees are exclusive of applicable taxes. For B2B Clients within the EU (outside Latvian Republic) providing a valid VAT ID, the reverse charge mechanism applies. For Latvian Clients or B2C users, the standard Latvian Value Added Tax (PVN) will be added to the invoice in accordance with EU tax laws.
4.3. Subscription fees are non-refundable unless otherwise required by law.

5. Intellectual Property Rights


5.1. Platform Ownership: All rights, title, and interest in and to the Platform, including source code, design templates, underlying technology, and intellectual property, remain the exclusive property of the Company.
5.2. Client Content: The Client retains all intellectual property rights to the materials they upload to their storefront (logos, product descriptions, images, domain names). The Client grants the Company a limited license to host and display this content solely to provide the Service.

6. Data Protection and GDPR Compliance


6.1. The Company processes personal data in accordance with the EU General Data Protection Regulation (GDPR).
6.2. Data Roles: In relation to the End-Users' personal data (buyers on the Client’s store), the Client acts as the Data Controller, and the Company acts as the Data Processor. Both parties agree to execute a separate Data Processing Agreement (DPA) which shall be incorporated into these Terms.

7. Limitation of Liability and Warranties


7.1. "As Is" Basis: The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. The Company disclaims all implied warranties of merchantability or fitness for a particular purpose.
7.2. The Company shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or data.

8. Term and Termination


8.1. These Terms remain in effect by registration moment until the subscription is canceled by the Client or terminated by the Company.
8.2. The Company reserves the right to suspend or terminate the Client’s account immediately and without notice if the Client breaches these Terms, European or local laws or fails to pay subscription fees.

9. Governing Law and Jurisdiction


9.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Latvia.
9.2. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Riga, Latvia.
