INTERNATIONAL TERMS OF FULL CONSIGNMENT FULFILLMENT & MARKET ENTRY

By submitting your portfolio and clicking "I accept", you agree to the following Terms of Fulfillment and Marketplace Access provided by InWine Multiverse (operated by SIA Pinflorist, Latvia).
1. Subject of the Agreement & Ownership Proof
  • Fulfillment & Access: InWine Multiverse provides a complete Baltic marketplace and fulfillment platform for On-Trade and Off-Trade sales across Latvia, Lithuania, and Estonia.
  • Consignment Model: We operate on a strict asset-light consignment framework. SIA Pinflorist acts solely as a fulfillment operator and agent.
  • Ownership Retained: You retain 100% legal title and ownership of your physical stock at all times until the exact moment of sale through the InWine platform. Product buyout and transaction execution occur strictly upon receiving confirmed purchase orders from On-Trade and Off-Trade marketplace clients; we never purchase your stock in advance or at a discounted buyout.
  • Proof of Ownership: Although the master logistics contract with the physical warehouse is held by SIA Pinflorist, your exclusive ownership of the inventory is strictly protected and legally documented through multiple layers: (a) This Agreement, which legally establishes the goods as your consignment stock; (b) The official EU EMCS (e-AD) documentation, which explicitly lists you as the Consignor and owner of the batch; (c) The international transport documents (CMR) marked as "Consignment Stock"; (d) The official Inbound Handling Receipt issued upon your inventory's arrival at the hub.
2. Logistics, Warehousing & Market Entry
  • Digital Market Entry: A standard one-time onboarding fee of €450 applies. This fee covers refrigerated groupage freight to Latvia, portfolio digitization, customs intake, and 3 months of secure storage. To protect your financial security, this fee is invoiced only after your stock successfully arrives and is safely received at our hub. If the pallet needs to be collected from multiple different locations, additional groupage fees may apply. Alternatively, inbound logistics can be handled directly by the supplier; in this case, freight costs will be excluded, and upon arrival at the hub, a reduced one-time onboarding fee of €150 will be invoiced instead to cover document digitization and product digitization.
  • Restocking: Subsequent shipments operate on a transparent Pass-Through Freight model. We arrange logistics at preferential rates (approximately €300 per standard 600-bottle pallet), with freight costs notified and pre-agreed in advance and invoiced strictly after the additional pallet successfully arrives at the Baltic hub.
  • Storage Conditions & Inventory Aging Timeline: (a) 0–90 Days: You receive an automatic 90-day grace period with €0 storage fees for your initial test consignment. (b) 91–180 Days: If stock remains beyond the 90-day window, a flat rate of €15.00 per pallet-space per month applies. To keep workflows seamless, these costs are automatically deducted from your accumulated monthly sales payouts without requiring out-of-pocket international bank transfers. (c) 181–360 Days: For slow-moving stock, a formal Unsold Stock Notice will be issued with a 30-day response window to review promotional strategy.
  • Long-Term Unsold Stock Policy (> 360 Days): If any stock remains unsold for more than 360 days, the Producer must select one of the following mandatory resolution scenarios within 30 days: (a) Return: Shipment back under the EU EMCS system to the Producer's estate, production facility, or designated alternative warehouse at the Producer's expense; (b) B2B Flash Sale: Authorizing a pre-agreed EXW price discount (e.g., 20–30%) to accelerate clearance across the InWine On-Trade and Off-Trade network; (c) Disposal: Official tax-compliant disposal and destruction under State Revenue Service (VID) supervision at the Producer's expense to close duty-suspension guarantees.
  • Inventory Withdrawal: You may withdraw your inventory at any time with a standard 30-day notice. You are only responsible for covering baseline hub handling fees and the physical return freight to your estate, production facility, or any designated alternative warehouse.
3. Pricing, Margin Protection, and Payouts
  • SKU Maintenance: A fee of €1.00 per SKU per month is charged for portfolio hosting, data maintenance, and keeping your products active across the B2B network.
  • Dynamic Pricing Formula: We guarantee 100% margin protection through a fixed formula:
  • {Final Price} = {Your EXW Price} + {Applicable Excise Tax} + {Inbound Freight} + €0.90\{ Hub Operations \& Last-Mile} * 1.15
  • Platform Markup: A 15% platform markup is added to the buyer's invoice and is never deducted from your quoted EXW price.
  • Freight Recovery Protocol: The inbound transport cost is paid by the B2B Buyer. Upon sale, InWine adds this amount back onto your net sales payouts, making cross-border logistics effectively free of charge upon stock liquidation.
  • Monthly Reconciliation & Payouts: Inventory reconciliation is performed once a month between the 1st and the 10th, based on which the final payout amount for the sold goods is calculated. You will receive secure monthly net payouts by bank transfer for all finalized transactions.
4. Compliance and Taxation
  • Zero Upfront Tax: There are absolutely zero upfront tax costs for the producer. All goods travel under total suspension of duties via the official EU EMCS system.
  • Excise Duties: The local state excise tax is fully embedded into the checkout flow and paid by the local buyer exactly when the product is sold. Standard applicable excise rates applied per bottle (excluding VAT) are: €1.11 per 0.75L bottle of wine and €6.25 per 0.75L bottle of spirits (40% ABV).
  • Regulatory Compliance: InWine fully handles EMCS documentation, local health registrations, custom regulatory clearance, tax stamping, and mandatory translated back labels at €0 operational bills for the producer.
5. Liability, Insurance & Right of Lien
  • Limitation of Liability & Warehouse Coverage: SIA Pinflorist acts as a fulfillment operator and agent. In the event of loss, theft, damage, or bottle breakage during transit or while stored at the partner logistics hub, SIA Pinflorist’s liability is strictly limited to the compensation amounts covered and recovered under the active insurance policy and standard CMR / 3PL warehouse liability framework of our logistics hub partners.
  • Right of Lien (Retention of Goods): If any due fees (including SKU maintenance fees, extended storage fees after 90 days, or freight balances) remain unpaid or unrecovered via monthly sales payouts for more than 60 days, SIA Pinflorist reserves the legal right to retain physical inventory until all outstanding balances are fully settled, or to liquidate the necessary portion of stock to cover the debt after issuing a formal 14-day written notice.
6. General Legal Provisions, IP License & Dispute Resolution
  • Governing Law & Jurisdiction: This Agreement and any disputes arising out of or in connection with it shall be governed by and construed in accordance with the substantive laws of the Republic of Latvia, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Any legal proceedings shall be submitted to the exclusive jurisdiction of the competent courts in Riga, Latvia.
  • Intellectual Property License: The Producer grants SIA Pinflorist a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and digitize the Producer's trademarks, logos, brand assets, bottle imagery, and technical product data solely for platform showcase, marketing, and commercial fulfillment purposes during the term of this Agreement.
  • Data Accuracy & Tax Indemnity: The Producer is solely responsible for the legal compliance and technical accuracy of all supplied product parameters (e.g., ABV %, volume, product classification). The Producer agrees to fully indemnify and hold harmless SIA Pinflorist against any fines, tax adjustments, penalties, or damages imposed by customs or regulatory authorities resulting from inaccurate Producer documentation or data.
  • Force Majeure: Neither party shall be liable for failure or delay in performing its obligations under this Agreement if such failure or delay is caused by events beyond reasonable control, including but not limited to acts of God, extreme weather, border blockades, EMCS/customs system outages, acts of government, or trade restrictions.
  • Electronic Acceptance (eIDAS): By clicking "I Accept" upon web registration, the Producer explicitly agrees that such action constitutes an enforceable, legally binding electronic signature equivalent to a physical signature pursuant to EU Regulation No. 910/2014 (eIDAS).
  • Severability & Amendments: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. SIA Pinflorist reserves the right to update these terms by issuing a 30-day written notice via email or user dashboard.
